Terms and Conditions

By accessing and using the web sites herein (“Web Sites”) and any web page hereof, you, as a subscriber of the Web Sites (“Subscriber”), agree to be bound by the terms and conditions below. Reference to these general terms of use should be made each time you access and use the Web Sites.

1. Copyright and Ownership

   The copyright in the contents of the Web Sites belongs to NRA Capital Pte Ltd (“NRA Capital”) or third-party content providers and are protected by international copyright laws. All rights are reserved. NRA Capital, Netresearch and other names of Netresearch products referred to herein are trademarks or registered trademarks of NRA Capital. Other trademarks/logos are the property of their respective owners.

   The Web Sites are for the personal and non-commercial use of a Subscriber. If a Subscriber downloads any material, the Subscriber must keep all copyright and other notices intact. The right to use any material downloaded by the Subscriber is not transferable to any other person or entity. A Subscriber is responsible for all usage of the Subscriber’s account (under the Subscriber’s ID or password) and for ensuring that all use of the Web Sites through the Subscriber’s account complies fully with the provisions of the terms and conditions herein. Subscriber may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, or other content, software, products or services obtained from the Web Sites. In addition, the information may not be taken out of context or presented in an unfair, misleading or discriminatory manner.

   A Subscriber’s profile and other particulars provided by the Subscriber to NRA Capital shall become the property of NRA Capital. NRA Capital reserves the right to disclose the Subscriber’s profile or particulars to third parties without the consent or approval of the Subscriber.

2. Access to the Web Sites

   A Subscriber is responsible for all his own computer hardware, software, ISP relationship, and phone access that provides Subscriber access to the Web Sites. NRA Capital is not responsible without limitation for any direct, indirect, special, consequential damages or economic loss caused in any way by the preceding hardware and software items for which Subscriber is solely responsible.

3. Subscriber ID and Password

   A Subscriber may gain access to the Web Sites through the use of the Subscriber’s ID and password. A Subscriber’s ID is selected by the Subscriber. A Subscriber’s password is assigned by NRA Capital. A Subscriber is solely responsible for retaining the confidentiality of his password. If the Subscriber believes the security of his Subscriber’s ID and password has been compromised, the Subscriber shall bear the responsibility for changing them at www.netresearch-asia.com. A Subscriber shall remain liable for any unauthorised use of the Web Sites until NRA Capital is notified of any breach of security.

4. Disclaimer

NRA Capital and/or its affiliated companies, their respective directors and/or representatives and/or employees may have a position in the securities mentioned or referred to in the Web Sites, may make a purchase and/or sale, or offer to make a purchase and/or sale, of the securities from time to time in the open market or otherwise, in each case either as principal or as agent and may also perform or seek to perform brokering, and other financial services for the companies mentioned herein.

The contents of the documents within the Web Sites are not nor are they to be construed as an offer, invitation, solicitation, advertisement, inducement or representation of any kind or from whatsoever in respect of or in connection with any agreement or investment arrangement or for any other purpose with NRA Capital or otherwise.

The information contained herein has been obtained from sources which NRA Capital believes to be reliable, but NRA Capital has not independently verified the information and cannot guarantee its timeliness and/or accuracy and/or completeness and/or correctness. Any analysis, advice or recommendation (if any) contained in the Web Sites is made only on a general basis. Subscriber assumes the entire cost of all necessary maintenance, repair or correction.

Use of the Web Sites is entirely at Subscriber’s own risk. The Web Sites may contain advice, opinions and statements of various information providers and content provides. NRA Capital does not represent or endorse the accuracy or reliability of any advice, opinion, statement or other information provided by any information provider or content provider, or any Subscriber of the Web Sites or other person or entity. Reliance upon any such opinion, advice, statement, or other information shall also be at a Subscriber’s own risk. Neither NRA Capital nor its affiliates, nor any of their respective agents, employees, information providers or content providers shall be liable to any Subscriber or anyone else for any inaccuracy, error, omission, interruption, timeliness, completeness of any services, content, information and data, deletion, defect, failure of performance, computer virus, communication line failure, alteration of, or use of any content herein, regardless of cause, or for any damages resulting therefrom.

Prior to the execution of a purchase or sale of any security or investment, a Subscriber is advised to consult with his own broker or other financial adviser or other professionals as appropriate to verify pricing and other information. Neither NRA Capital, its affiliates, information providers or content providers shall have any liability for investment decisions based upon, or the results obtained from, the information provided in the Web Sites. Neither NRA Capital, its affiliates, information providers or content providers guarantee or warrant the timeliness, sequence, accuracy, or completeness of any such information. Nothing contained in the Web Sites is intended to be, nor shall it be construed as, investment advice.

NRA Capital makes no warranties or guarantees (expressed or implied) whatsoever to the content or accuracy of any information obtained from the live forum (the “Forum”). The Forum is provided for informational purposes only. The views expressed by its participants are entirely that of its participants alone and NRA Capital does not endorse the reliability nor the opinions expressed therein. As such, the opinions and views of the participants to the Forum should be carefully evaluated. Under no circumstances whatsoever is the Forum to be used or considered as an offer to sell, or a solicitation of any offer to buy, any security. The use of the Forum is conditional upon the following and the violation of the following conditions will entitle (but not oblige) NRA Capital, in its sole and absolute discretion to terminate without any notice whatsoever, a Subscriber’s membership:-

In particular, but without limiting the foregoing, a Subscriber shall not use the Forum to post or discuss any matters relating to or in connection with (a) political matters of any state, country, jurisdiction or region whatsoever, (b) racial matters of any state, country, jurisdiction or region whatsoever, and/or (c) religious matters of any state, country, jurisdiction or region whatsoever;
2. Subscriber shall not in any event inhibit any other Subscriber from using or enjoying the Forum;
3. without limiting the foregoing, a Subscriber shall not at any time post or transmit any unlawful, abusive, harassing, harmful, threatening, vulgar, obscene, racial, unethical, political, hateful, objectional, pornographic, libellous and/or defamatory material;
4. a Subscriber shall not at any time impersonate any other Subscriber;
5. a Subscriber shall not at any time use the Forum for any advertisement or to solicit in any manner whatsoever, subscription or sale of securities or to advertise or otherwise solicit for any business whatsoever;
6. a Subscriber shall not at any time post or pass any false or misleading information or any insider information.
7. while NRA Capital does not and cannot review every message posted by a Subscriber in the Forum, and is not responsible for any content of these messages, NRA Capital reserves the right to delete, move, modify or edit messages that it deems, in its sole and absolute discretion, unlawful, abusive, harassing, harmful, threatening, vulgar, obscene, racial, unethical, political, hateful, objectional, pornographic, libellous and/or defamatory and/or otherwise in contravention of these conditions. Notwithstanding that NRA Capital may delete, remove, modify of edit any such messages, Subscribers shall remain solely responsible for the content of their messages;
8. Subscriber acknowledges that any submission and/or message may be edited, removed, modified, published, transmitted and/or displayed by NRA Capital. In addition, the Subscriber warrants that all moral rights in any uploaded materials or any messages or information posted in the Forum have been waived.
9. by entering the Forum, a Subscriber assumes all risks and liabilities involved.
5. Exclusion of Liability

   NRA Capital shall in no event be liable for damages, loss or expense including without limitation, direct, indirect, special, or consequential damage, or economic loss arising from or in connection with:

   1. any access, use or the inability to access or use the Web Sites, or reliance on the contents of the Web Sites;
   2. any system, server or connection failure, error, omission, interruption, delay in transmission, or computer virus;
   3. any use of or access to any other web site linked to the Web Sites;
   4. any product, service or information of any merchant or service provider; and/or
   5. any use or access to the Forum

6. Risk Disclosure Statement

As a Subscriber, you acknowledge that the price of securities traded on the Singapore Exchange Securities Trading Limited ("SGX-ST") are subject to investment risks, can and does fluctuate, and any individual security may experience upwards or downwards movements, and may even become valueless. There is an inherent risk that losses may be incurred rather than profit made as a result of buying and selling securities traded on the SGX-ST. As a Subscriber, you are aware of the risk of exchange rate fluctuations which can cause a loss of the principal invested. You also acknowledge that these are risks that you are prepared to accept.

You understand that you should make the decision to invest only after due and careful consideration. You agree that you will not make any orders in reliance on any representation/advice, view, opinion or other statement made by NRA Capital, and you will not hold NRA Capital either directly or indirectly liable for any loss suffered by you in the event you do so rely on them.

You understand that you should seek independent professional advice if you are uncertain of or have not understood any aspect of this risk disclosure statement or the nature and risks involved in trading of securities on the SGX-ST.

7. Modification

   NRA Capital shall have the sole and absolute right, at its discretion, to change, modify, add or remove these terms and conditions at any time without notice. Changes shall be effective immediately. A Subscriber should review these terms and conditions periodically since subsequent use by the Subscriber of the Web Sites shall constitute acceptance of any changes. NRA Capital shall have the right at any time to change or discontinue any aspect of the Web Sites, including, but not limited to, the community areas, content, hours of availability and equipment needed for access to use. Such changes, modifications, additions or deletions shall be effective immediately upon posting and any subsequent use by a Subscriber after such posting shall conclusively be deemed to be acceptance by the Subscriber of such changes, modifications or deletions.

8. Termination

   Access to the Web Sites is effective until terminated by NRA Capital at any time without notice. In the event of termination, the Subscriber is no longer authorised to access the bulletin boards and the restrictions imposed on the Subscriber with respect to material downloaded from the bulletin boards, the disclaimers and limitations of liabilities set forth in this Agreement, shall survive.

   Under no circumstances, including, but not limited to, negligence, shall NRA Capital, or its affiliates be liable for any direct, indirect, incidental, special or consequential damages that result from the use of, or the inability to use, NRA Capital’s materials. Subscriber specifically acknowledges and agrees that NRA Capital is not liable for any conduct of any Subscriber.

   As a condition of use of the Web Sites, Subscriber agrees to indemnify NRA Capital and its suppliers from and against any and all liabilities, expenses (including NRA Capital’s solicitors’ fees on a full-indemnity basis) and damages arising out of claims resulting from Subscriber’s use of the Web Sites. If a Subscriber is dissatisfied with any NRA Capital material, or with any NRA Capital’s terms and conditions, the Subscriber’s sole and exclusive remedy is to discontinue using the Web Sites.

9. Governing Law and Jurisdiction

   Any facilities and/or services offered through the Web Sites are strictly for a Subscriber’s access and/or use. Other than as aforesaid, nothing in the Web Sites shall be construed as NRA Capital providing services and facilities. By accessing the Web Sites and using the facilities and/or services offered through the Web Sites, a Subscriber agrees that Singapore law shall govern such access and the provision of such facilities and/or services, and the Subscriber agrees to submit to the exclusive jurisdiction of the Singapore courts.
